Terms of service

These terms govern your use of gyediflow.com and the GyediFlow service. Please read them before you create a workspace. By creating an account or using the service you agree to them.

1. Who these terms are with

The service is provided by MoveOnline Digital LLC, 306 W Redwood St, STE 4390, Baltimore, MD 21201, United States ("MoveOnline Digital", "we", "us"). GyediFlow is a product of MoveOnline Digital, which also operates through MoveOnline Digital Limited, registered in Ghana under company number CS146470726, GA-183-7744, Makola, Near Rawlings Park, Accra, Greater Accra, Ghana, and has an operational presence in Egypt. The entity contracting with you is the one named in your order or invoice, or MoveOnline Digital LLC where none is named. Contact: info@moveonlinenow.com, +1 240 315 1880.

2. The service

GyediFlow is a cloud business platform that includes accounting, sales, CRM, HR and project tools. Each company gets a private workspace on its own address. Features depend on your plan. Information on this website is a description, not a promise of any feature that is not in your plan.

3. Accounts and workspaces

You must give accurate information and keep your sign-in details secure. You are responsible for everything done through your workspace, including by the people you invite. Tell us promptly if you think your account has been used without permission. You must be able to enter a binding contract on behalf of the company you register.

4. Plans, fees and payment

The plan, price, billing period and any taxes are shown when you subscribe or upgrade, and on your billing page. Where payment is required, plans are billed in advance for each billing period. Card and PayPal payments are processed by Stripe and PayPal; bank transfer is available where offered. Prices exclude taxes unless they say otherwise. Fees paid are handled under the terms shown at purchase and applicable law. If an account is overdue we may suspend it after written notice and a reasonable time to pay.

5. Acceptable use

You must not use the service to break the law, to send spam or malware, to attack or probe the service or other customers, to infringe other people's rights, or to resell the service without our written permission. We may suspend a workspace that puts the service or other customers at risk.

6. Your data

You keep ownership of the data you put into your workspace. You give us the right to host and process it only to provide the service to you. You are responsible for having the right to use that data and for how you use the service.

7. Data protection

For personal data inside your workspace (your customers, employees and so on) you are the controller and we are your processor. We process it only on your documented instructions, keep it confidential, apply the security measures described in our Privacy policy, use other processors (such as our hosting provider) under written terms, help you answer data subject requests, tell you without undue delay if we become aware of a breach affecting your data, and delete or return the data when the service ends, as set out in section 13. How we handle personal data in our own right is described in the Privacy policy. Each of us will comply with the Data Protection Act, 2012 (Act 843) of Ghana and, where it applies, the GDPR.

8. Availability, backups and support

We work to keep the service available but we do not guarantee uninterrupted service, and no uptime commitment applies unless a signed agreement states one. We make nightly backups for disaster recovery and keep them for 14 days; they are not a way to restore individual records on request. You are responsible for exporting the copies of your data that you need. Support is available by email at info@moveonlinenow.com and through the helpdesk where your plan includes it.

9. Intellectual property

We and our licensors own the service, its software and its branding. We grant you a non-exclusive, non-transferable right to use the service during your subscription. You may not copy, reverse engineer or resell it, except as the law allows. Third-party and open source components stay under their own licences.

10. Third-party services

The service works with third-party services such as hosting, payment providers, messaging (for example WhatsApp, Telegram, Slack and Zoom) and AI providers if you turn them on. We do not control them and are not responsible if one fails, changes its terms or its prices, or is withdrawn. Their fees and terms are yours to follow.

11. Warranty

We provide the service with reasonable skill and care. Apart from that, and as far as the law allows, the service is provided "as is" and we do not warrant that it will be error free or fit every particular purpose. The service is a business tool and does not replace professional accounting, tax, legal or HR advice. You are responsible for checking that its output meets the rules that apply to you.

12. Limitation of liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited under the applicable law. Subject to that, neither of us is liable to the other for loss of profit, revenue, savings or business opportunity, or for any indirect or consequential loss. Our total liability arising out of or in connection with the service is limited to the fees you paid us for the service in the twelve months before the claim arose.

13. Term and termination

These terms apply for as long as you have an account. You can cancel at any time; cancellation takes effect at the end of the billing period already paid for. Either of us may end the agreement for material breach that the other has not put right within thirty days of written notice, or immediately if the other becomes insolvent or stops trading. We may suspend or end a workspace immediately for serious breach of section 5. When the service ends, we delete the workspace data on your request, and copies in backups are deleted automatically after 14 days. Sections on intellectual property, liability, data protection and governing law survive termination.

14. Events outside our control

Neither of us is liable for failing to perform because of events outside reasonable control, including power or network failure, failure of a third-party provider, natural disaster, civil unrest or government action.

15. Governing law and disputes

Unless a signed agreement says otherwise, these terms are governed by the laws of the Republic of Ghana. Both of us will first try in good faith to resolve a dispute directly. Failing that, and unless the agreement names a different forum, the courts of Ghana have exclusive jurisdiction. Consumers keep any mandatory rights they have under the law of the country where they live.

16. Changes and general

We may update these terms and will tell account holders about significant changes in advance. If a provision is unenforceable, the rest stays in force. A delay in enforcing a right is not a waiver. You may not transfer your rights without our written consent.
